  • Legal counsel: PanVenture can obtain legal counsel for non-Chinese companies who need to know what legal issues they need to be aware of in order to do business with local companies. In some cases we will retain lawyers with local expertise on behalf of our clients.

Business Development Services

The Business Development Services offered by PanVenture in Asia-Pacific are listed below, and are closely linked to our corporate finance services. Not only will we help to identify the best partners, but represent the interests of your company to those partners and negotiate with them to ensure the best possible contract terms. All of PanVenture's Asia Pacific staff are fluent in Chinese as well as having considerable experience negotiating with and setting up business deals with local companies. 

  • Partner Search: PanVenture is frequently engaged to represent its clients' business interests by searching for suitable and reputable business partners. Partners for finance, OEM manufacturing, licensing, distribution or other joint ventures can be found and contracts can be negotiated on behalf of our clients with full support from mutually appointed legal counsel.
  • Local Support: PanVenture can continue to represent your interests once your partner has been appointed. We can arrange letters of credit and other finance or insurance services with local firms, and act as either a representative or branch office with translation and other business services until a more permanent solution is found. This will enable us to liaise with the senior management of your partner company on your behalf.

Partner Search

Panventure develops customized services to assist its clients to locate overseas strategic partners and investors which will bring the following benefits: (a) collaborative research and new product development, (b) out-licensing and technology transfer opportunities, (c) access to marketing/distribution channels, (d) overseas funding partners to finance international expansion, and also to provide access to investors' portfolio companies and their technologies.

With its adaptable business approach and on-the-ground expertise PanVenture is well positioned and uniquely qualified to introduce your company's high technology product and service requirements to potential customers, product development partners, cross-licensing partners, joint venture partners, franchize partners and investors in Asia-Pacific, America and Europe. PanVenture's experience has shown that in many cases, especially in Asia, a licensing partnership or a joint venture with a local partner significantly increase the likelihood of securing an investment from strategic investors and VC groups.

PanVenture's International Development Approach

Typically PanVenture will engage in the following activities to develop their clients' international partnerships:

 

  • PanVenture's staff on the ground will create summary documents in the local language of the target country (e.g. Japan, Taiwan or China) and will initiate telephone and e-mail campaign to mobilize its local partners, key investment banks, academic and corporate contacts and also evaluate potential target partners.
  • PanVenture's senior management will perform due diligence of potential target partners and prepare a "best-in-class" target list.
  • PanVenture's senior management will travel to make presentations on behalf of the client. PanVenture will represent best interests of the client and will endeavor to negotiate optimal terms for the client.
  • Senior representatives of the client will then be able to meet with decision makers during the overseas road-show at group seminars and one-to-one meetings.

Strategic Partner Development Process (2 Phases)

Phase 1

Document preparation: Client supplies The Advisors all relevant
documentation, technology valuations and business plans. The Advisors will work in concert to prepare the necessary materials. . The Advisors will also prepare basic summary materials in Chinese for the purposes of initial introduction.

Phase 2
Partner Search: The Advisors will use the materials as a basis to locate suitable
Chinese out-licensing partners and investors. Steps in the partner search process
will involve:

 

  • Conducting research to identify, qualify, and short-list potential suitable partners including academic, government & corporate entities.
  • Conducting a road show and presenting to potential Chinese partners.
  • Completing draft documentation including confidentiality agreements, letters
    of intent and out-licensing agreements.
  • Advice on due diligence management.
  • Helping negotiate and manage the expectations of counter-parties.
  • Advising on transaction settlement issues.
