Introduction to
PanVenture
PanVenture is a BVI (British Virgin Islands) company that was established in
2000. PanVenture’s main business activities are investment and financial
advisory services and we are specialists in China strategy. We
provide services across a broad range of industries including Education,
Infrastructure, Transport and Technology. PanVenture advises foreign companies and education institutions on cooperating and investing in
China, and also advises Chinese companies in the IPO process to access the foreign exchange markets
in London and New York. PanVenture has offices in Beijing, San Francisco and
London. PanVenture is in the
process of investigating the strengths and opportunities of several new markets
and investment opportunities, and plans to establish new offices in
Shandong Province
this year.

History of
PanVenture:
PanVenture Inc was established in
2000 to provide business strategy and financial consulting services to American,
European and Asian high-technology companies. In 2001, PanVenture
established offices in Beijing and Taipei to serve the Asia-Pacific Region, a
representative office in San Francisco, California, to serve companies in the
North America Region, and a representative office south of London to serve the
European Region. Also during 2001, PanVenture established strategic alliances
with British and American investment banks thus
expanding its consulting services to its Chinese clients including cross-border
M&A, share-swap and IPO listing in Singapore or London. As PanVenture's
consultants have accumulated in-depth experience of the booming growth in China,
the company has been able to to adapt quickly to the rapidly changing needs of
China's economic development and has enabled it to be at the forefront in
consulting to emerging markets such as Educational Consulting since 2003.

PanVenture's Goals:
PanVenture's goals are to: (1) to contribute as much as possible to the
development of China's infrastructure through participation in Education,
Energy, Environment, and Healthcare related projects; (2) to assist educational
institutions, companies and government agencies with developing their China
entry strategy and implementation plans; (3) to provide a springboard for small and medium companies into these markets through strategic alliances
and introduce American, European and Asian clients to develop manufacturing,
product development, technology transfer, licensing and investment partnerships
and to act as a long-term valuable intelligence and operational resource for our
clients as they grow to IPO and beyond; (4) to develop international collaborative business opportunities in the Life Sciences, Biotech, Pharma, Hi-Tech, Optronics and Telecom industries.
Opportunity and Timing:
PanVenture's management team believes that the following factors are representing a unique opportunity at this time: (1) China and Taiwan have just entered the
WTO; (2) Industry sectors including Education, Healthcare, Agriculture, Banking,
and Telecom are being deregulated in Greater China; (3) Low-Cost manufacturing
in China and high quality engineering and manufacturing in Taiwan are presenting

Dr. Christopher Bayley

Dr. Christopher
Bayley, President and CEO of PanVenture founded the company in 2000 in order to provide business strategy and financial consulting services to international clients
in order to facilitate more efficient integration of their American, European and
Chinese business operations. With PanVenture, Chris has held interim Senior
Management positions in top level organizations including the UK University
of Nottingham - Ningbo Campus in Zhejiang Province, and Linuo Group in Jinan,
Shandong Province. Prior to founding PanVenture, from 1997 to 2000, Chris was a Regional Director for KPMG Asia-Pacific (Peat
Marwick). Chris was the CKO for all of KPMG's Asia-Pacific 127 offices located in 27 countries. From 1995 to 1997, Chris was Vice President of Marketing for Panorama Research Inc, and from 1992 to 1995 was Director of Business
Development for ImmuDyne, Inc., both located in Palo Alto, California, USA with a focus on marketing to Asia and Europe. Prior to 1992, Chris worked with a number of start-up biotech and internet technology companies in the SF Bay Area in business development and consulting roles. Chris also taught as an Adjunct Professor at Santa Clara University, and held Post-Doctoral Fellowships with the MAFF (Tsukuba, Japan), the USDA (Berkeley, California), and DuPont R&D (Wilmington, Delaware). Chris received his MBA in International Marketing from Santa Clara University, California, USA in 1993, his PhD in Biotechnology in 1987 and a BSc in Genetics and Biochemistry in 1983, both from the University of Nottingham in the UK. Chris has a number of publications in peer-reviewed scientific journals including "Nature" and speaks Chinese.
Dr. James Larrick
Jim Larrick played a major role in the foundation of PanVenture, and is a Senior Advisor based in Palo Alto California. Jim provides the support and infrastructure for PanVenture's North American operations. Jim's role also includes assistance in technology transfer and due diligence expertise as well as access to numerous angel investors and global venture capital networks. Jim is the President and Chairman of numerous corporations including Panorama Research Institute and PanGenetics (recently merged with
TANOX). Jim also acts as the co-chair on the biotech screening committee of TENEX Medical angel investors in the SF Bay Area (see PanVenture’s partnerships link ). Larrick has published a number of books on the subject of immunology, cancer, gene therapy and cloning, with several hundred peer-reviewed scientific publications and is on the editorial board of at least 8 prestigious journals. Jim has outstanding track records both as a research pioneer and as a successful entrepreneur.
Robert Applegate
Robert
Applegate is
Director of
Business Development for PanVenture Americas Region,
and handles operations, business and
legal issues concerning American client companies
starting or expanding into China. Robert has a B.A. in
Asian Studies from the University of Texas and a J.D.
degree from Pace University School of Law in New York.
In the early 1980's he handled foreign accounts for
Taiwan's oldest public relations firm, United Pacific
International. His legal positions include working for
the City Attorney's Of f ice in Houston, the
London office of
Otis Elevator, UPS's corporate headquarters in
Connecticut and for EDO
Corporation in New York City. In 1995 Robert was a co-organiser
of the first international conference for US companies
interested in marketing to China. Many Fortune 500
companies, the US Department of Commerce, the FDA and
their Chinese counterparts all participated in this
ground breaking event. In 1997, Robert co-created
together with UCSD's Connect Program a conference
entitled ''China's Medical Market: Opportunities for
U.S. Biotechnology, Medical Equipment, and
Pharmaceutical Companies.'' He was also the co-creator
of the ''Exporting Medical Devices to Europe & China''
conference in 1999 with the San Diego World Trade Center
and the U.S. Department of Commerce. In 1998 he was
nominated Chairman of the China Workshops for the
Medical Design and Manufacturing West conference and
exhibition in Anaheim.
James Richardson
Jimmy Richardson acts a Senior Advisor to PanVenture with a focus on its European operations. Jimmy has more than three decades of international experience in accountancy, legal, tax advisory and management consulting roles for prestigious firms. Jimmy provides management and financial expertise to assist clients: (a) to establish tax efficient international corporate structures; and (b) to develop operating and supply chain strategies to minimize costs and maximize profitability. This applies in particular to engineering or technology-based firms with cross-border manufacturing, assembly, and distribution channels.
Trevor Bayley
Trevor Bayley acts a Senior Advisor to PanVenture with a focus on its European and China operations. Trevor is also
Senior Partner of TB Associates Co. Ltd, PanVenture's strategic partner in Kent, UK. Trevor has more than
twenty years of international experience in tax advisory, business and accounting consultancy, software development, system integration and project management roles for small and medium enterprises. Trevor provides project management and financial technical expertise to assist clients with international challenges to develop efficient business and financial systems. Trevor is a certified member of the British ATT (Assocation of Tax Technicians) and also has Microsoft Certification credentials from the USA.
Kent Wang
Based in China, Kent assists PanVenture with business development and strategy in China. Kent is a Partner at Temima Group (China) and has been involved in the investment banking industry in China and Taiwan for more than 8 years. Kent was also one of the founders of 3Together, a Taiwanese venture capital firm and was a former director for Inter Asia Investment and Yu-Chen Fund Management. Kent received a BA in Finance from the University of Southern California in
1994.
Katie Liu Wang
Katie
Wang, based in Jinan and Beijing, assists PanVenture with business development
services to our Chinese clients and also helps to deliver China services to
PanVenture's US and European clients. Katie is also Managing Director of Jinan Yihong International Management
Consulting Group, PanVenture's strategic partner in Jinan, China.
Katie trained and worked as an Investment Consultant at Qilu Futures Co,
Ltd.,
and has also held consulting positions in many companies, including Zhongtai
Daily Chemicals Co, Ltd. (Hong Kong owned).
Miss
Wang
received
her
Master’s
Degree in Management Economics (with honors) in 2004 from the University of
Essex in the UK,
and a Bachelor’s Degree in Economics and Finance from Shandong Finance
Institute in China in 2002.
Fred Sen
Fred Sen is based in Taiwan and provides PanVenture with valuable local expertise in technology transfer, business development, sales and distribution, and private placement in Taiwan. Fred has over a decade of experience in the investment banking and venture capital industries and has strong expertise in the IC design, telecom, wireless and internet technologies. Fred has had a highly successful track record in investment management and is an expert in due diligence and his portfolio management experience includes embedded linux solutions, MPEG decode/encode chip, DWDM optical fiber components, smart antennas, radio-defined equipment, multimode base station controller, network core switch, MIPS processor technologies. Fred is also a partner at Garagefund.com which invests in high-tech startup companies. Prior to raising this fund, Fred was General Manager of Global Impex Enterprise which he helped to raise from US and
Taiwan investors, and focusing on early and expansion stage US based high-tech companies. Fred has also held consulting positions in the US including with Stream Machine Corporation, Bayspec Corporation, and China Development Bank, New Dimension Research, Inc and Vweb Corporation. Fred received a Mechanical Engineering degree from the Southern Engineering College in 1987 and a post-graduate degree from the Investment Banking Taipei Foundation of Finance in 1996.
Stephen Chang
Stephen Chang acts in an advisory role to PanVenture both on Asian business development and corporate finance. Mr. Chang received his Masters in Law and Economics (London, UK). Stephen was formerly a consultant with Andersen Consulting in Taiwan in their corporate finance group, and prior to that he was employed by PriceWaterhouseCoopers in New York. Stephen also has significant experience as a trader of Asian stock portfolios.

On
June 1st, 2004 PanVenture entered into a strategic partnership agreement with
"Jinan Yihong International" Management Consulting Firm, a consulting company
that assists Chinese clients to "Internationalize" their operations.
Core services include developing contracts with American and European customers,
suppliers, technology partners, joint venture partners, distribution partners
and that require OEM or manufacturing in China.

TripleTree provides advisory, private placement and M&A

Medical is a group of over 200 Angels in the Bay Area,
California, which has cooperated with PanVenture on numerous
technology transfer and fund-raising cases since 1993.
Each of these Angel Investors are outstanding achievers in their
own field of expertise, and each can leverage their own network
of connections in industry, finance and research. TENEX Medical
has several years of operating history, and their members hold
bi-weekly investment meetings. Their typical focus is on Drug
Discovery, Biotech, Bio-informatics, E-Health, and collectively
they will invest between US$250,000 and US$2 million, with a
